Terms of Use — Kinetic

1. What Kinetic Is

Kinetic is an AI-powered business assistant platform for Zambian SMEs, operated by Redwood Innovations. It helps businesses manage customer conversations, find leads, stay compliant, and connect their digital tools — all from one place.

2. Account and Eligibility

You must be at least 18 years old and have the authority to bind your business to these terms. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

3. Acceptable Use

You agree not to use Kinetic for illegal purposes, spam, harassment, or any activity that violates the terms of connected platforms (including WhatsApp, Telegram, and Meta's Business Messaging API). Misuse may result in immediate suspension.

4. Payment, Trials, and Cancellation

Kinetic does not charge a monthly subscription fee. Instead, you purchase usage units at any time, and consume them as your business uses the platform. There is no commitment, no recurring charge, and no automatic renewal. Units never expire. You may stop using Kinetic at any time without penalty.

5. Your Data and Our IP

You own your business data — customer conversations, uploaded documents, and configurations. Kinetic owns the platform, its underlying code, AI models, and intellectual property. We do not claim ownership of your business information.

6. Third-Party Tool Connections

Kinetic can connect to third-party tools you choose (e.g., accounting software, CRMs). We are not liable for those tools' own terms, data handling, or behavior — only for the connection itself. You are responsible for reviewing the terms of any third-party tool you connect.

7. Limitation of Liability

Kinetic is provided "as is." To the fullest extent permitted by law, Redwood Innovations is not liable for indirect, incidental, or consequential damages arising from your use of the platform. Our total liability is limited to the amount you paid in the 12 months preceding the claim.

8. Termination

Either party may terminate the agreement at any time. Upon termination, your access to Kinetic will cease, and your data will be handled according to our Privacy Policy.

9. Governing Law

These terms are governed by the laws of the Republic of Zambia. Any disputes shall be resolved in the courts of Zambia.
